TERMS

1. Probation. You will be on probation for 6 months from your date of joining. Your employment will be confirmed in writing on satisfactory completion. The probation period may be extended once, in writing, for a period not exceeding 6 months.

2. Notice period. Either party may terminate this employment by giving 60 days' written notice, or salary in lieu of the notice period not served. During probation the notice period is 30 days.

3. Statutory deductions. Your salary is subject to deduction of provident fund, employees' state insurance where applicable, professional tax as levied by the state, and tax deducted at source, in accordance with law.

4. Confidentiality. You will not, during your employment or after it ends, disclose to any person any confidential information belonging to the company, its clients or its employees. You will return all company property and records on the last working day.

5. Policies. Your employment is governed by the company's policies as amended from time to time, including the policy on prevention of sexual harassment at the workplace, the code of conduct and the leave policy. These will be made available to you on joining.

6. Background verification. This offer is conditional on satisfactory verification of the information and documents you have provided, including your previous employment, education and identity.

7. Fitness to work. This offer is conditional on your being legally entitled to work in India and on your producing the documents required to establish that.

This offer is open for acceptance until 7 days from the date of this letter. Please confirm your acceptance by signing and returning a copy.

An offer letter is the first document in an employment relationship and often the only one anyone reads carefully. It has to state the terms precisely enough to be relied on, and plainly enough to be understood.

The clauses here are the ones that cause arguments when they are vague: probation and how it can be extended, notice on both sides, what happens to conditional offers, and the statutory deductions that make take-home differ from CTC.

What an Indian offer letter should contain

The role, the location, the reporting line and the joining date. The compensation, with a breakup attached rather than a single CTC number — the gap between CTC and take-home is the single largest source of first-month disappointment.

Probation and how it can be extended. Notice period, on both sides, and the fact that probation usually carries a shorter one. The statutory deductions that apply. Confidentiality. And the conditions the offer depends on — background verification and right to work.

The difference between an offer letter and an appointment letter

An offer letter is issued before joining and is an offer capable of acceptance. An appointment letter is issued on or after joining and is the substantive contract of employment.

Many Indian employers use one document for both, which is workable but means the full terms have to be in the offer. Where they are separate, the appointment letter should say that it supersedes the offer.

Frequently asked questions

Is an offer letter legally binding in India?
Once accepted, an offer letter creates a contract. Withdrawing an accepted offer without cause can give rise to a claim, and candidates have succeeded on that basis. Make any condition — background verification, right to work — explicit in the letter rather than assumed.
What should an offer letter include?
Role, location, reporting line, joining date, compensation with a breakup, probation, notice period, statutory deductions, confidentiality, the conditions the offer depends on, and how long it is open for acceptance.
Can an employer withdraw an offer letter?
Before acceptance, yes. After acceptance it becomes a contract, and withdrawal carries risk — particularly where the candidate has resigned from another job in reliance on it. Conditions should be stated in the letter, not invoked afterwards.
What notice period should an offer letter specify?
Whatever your terms require, commonly 30, 60 or 90 days, with a shorter period during probation. State it for both parties — a clause that binds only the employee is harder to enforce.
